Sustainable Governance

The Board of Directors is the highest governance body of KUEN LING . In addition to executing business in accordance with laws, the company's charter, and shareholder resolutions, the Board also approves the company's annual and semi-annual financial reports, internal control system effectiveness evaluations, the appointment and dismissal of accountants, the appointment and dismissal of managers, and strategic plans. The Board of Directors convenes at least once a year to discuss sustainability implementation achievements and future goals, the sustainability report, progress reports on greenhouse gas inventory implementation, and other economic, environmental, and social issues related to corporate governance. The Chairman is authorized to handle these matters at a tiered level or directly delegate them to relevant departments.

To promote the company's sustainable development and related policies, KUEN LING established a Sustainable Development Promotion Group in 2024. To implement the company's sustainable development, the Sustainable Development Group is responsible for promoting various sustainable development plans, integrating company-wide resources, reviewing the company's current situation, and formulating sustainable response strategies. The group also holds regular discussion meetings, reports the results to the Sustainable Development Committee, and submits the minutes to the Board of Directors to facilitate the promotion of sustainable development strategies.
